Regional Technology Solutions Pty Ltd – Terms of Trade
Last Updated: July 2026
These Trading Terms and Conditions (“Terms”) apply to goods and services supplied by Regional Technology Solutions Pty Ltd (“RTS”, “we”, “us” or “our”).
By accepting a quotation, approving a work order, paying a deposit, purchasing goods, requesting that we commence work, or otherwise engaging RTS to supply goods or services, the customer (“Customer”, “you” or “your”) agrees to be bound by these Terms.
Nothing in these Terms is intended to exclude, restrict or modify any right or remedy which cannot lawfully be excluded, restricted or modified, including rights under the Australian Consumer Law (ACL).
1.1 These Terms apply generally to goods and services supplied by RTS unless otherwise agreed in writing.
1.2 RTS provides services including, but not limited to:
1.3 A quotation, proposal, work order, service agreement or other written agreement issued by RTS may contain additional or project-specific conditions.
1.4 Where there is an inconsistency between these Terms and a specific written quotation, proposal, work order or service agreement accepted by the Customer, the specific written terms of that quotation, proposal, work order or service agreement will prevail to the extent of the inconsistency.
1.5 Any rights that cannot lawfully be excluded or modified, including applicable rights under the Australian Consumer Law, prevail over these Terms and any other RTS document.
1.6 Where RTS and the Customer have entered into a separately negotiated commercial agreement, service agreement, contract, master services agreement or other written arrangement governing the supply of particular goods or services, that agreement will apply to those goods or services and will prevail over these Terms to the extent of any inconsistency.
1.7 Unless the separate commercial agreement expressly provides otherwise, these Terms will continue to apply to matters not specifically addressed by that agreement, including provisions relating to invoicing and payment, overdue amounts, debt recovery costs, ownership of unpaid goods, site access and safety, liability, indemnities, insurance obligations, warranty administration, dispute resolution and any rights or obligations accrued before termination or completion of the arrangement.
1.8 The expiry, completion, cancellation or termination of any quotation, service agreement, commercial arrangement or other contract does not affect any amount already owing to RTS, any right to recover an outstanding debt or reasonable recovery costs, or any liability, indemnity, insurance obligation or other right which by its nature is intended to continue after the relevant work or agreement has ended.
2.1 Unless otherwise stated in a quotation, quotations issued by RTS are valid for 14 calendar days from the date of issue.
2.2 A quotation may specify a shorter or longer validity period, in which case the period stated in the quotation applies.
2.3 Prices for technology equipment can change rapidly because of manufacturer pricing, distributor pricing, exchange rates, freight charges, product availability and other market conditions.
2.4 Where the price or availability of equipment changes materially before a Customer accepts a quotation, RTS may withdraw or revise the quotation.
2.5 Once a quotation has been accepted, RTS will not increase the agreed price for goods already ordered merely because our purchase price subsequently increases, except where:
2.6 Unless expressly stated to be a fixed-price quotation, quotations involving labour, consumable materials, cabling, fault finding, civil works, existing infrastructure may be provided as an estimate.
2.7 An estimate represents RTS’s reasonable assessment of the likely cost based upon the information available at the time.
2.8 Where actual labour or materials differ from an estimate, the final invoice may reflect the actual labour, materials and other charges reasonably incurred.
2.9 If RTS becomes aware that a material increase beyond an estimate is likely, we will, where reasonably practicable, inform the Customer before undertaking substantial additional work.
3.1 A Customer may accept RTS’s offer to supply goods or services by:
3.2 A person accepting a quotation or authorising work on behalf of a company, business, organisation, partnership, body corporate or other entity represents that they have authority to do so.
3.3 RTS may require written acceptance or payment of a deposit before ordering equipment or scheduling work.
4.1 RTS may require a deposit or prepayment for:
4.2 The amount of any deposit will normally be specified in the quotation, proposal or payment request and may vary based on trading history, value of the quote, or upfront costs incurred to supply the service(s).
4.3 RTS is not required to order equipment, allocate resources, reserve installation dates or confirm commencement of larger quoted works until any required deposit has been received in cleared funds. Installation dates and project commencement remain subject to availability at the time the deposit is received. Any delay in payment of a required deposit may therefore result in a delay to the proposed works.
4.4 A deposit is applied towards the final amount payable by the Customer.
4.5 If a Customer cancels after equipment has been ordered or RTS has incurred costs, RTS may deduct from a refundable deposit the reasonable costs and losses actually incurred as a result of the cancellation, to the extent permitted by law. This may include non-refundable supplier charges, reasonable restocking charges, freight, specially ordered goods or equipment hired and work already undertaken.
4.6 Nothing in this clause affects any right the Customer has under the Australian Consumer Law.
5.1 Unless expressly stated otherwise, prices quoted to consumers are inclusive of GST where GST applies.
5.2 Prices quoted to business Customers or under commercial arrangements will specify whether GST is included or excluded.
5.3 Additional work requested by the Customer that is outside the original scope may be separately charged at applicable rates.
5.4 Labour may be charged by time, agreed project price, call-out charge, minimum service charge or another basis advised to the Customer.
5.5 Consumables and materials used during installation or repair may be charged in addition to labour unless they have been expressly included in a fixed-price quotation.
6.1 The quoted scope is based upon the information reasonably available to RTS when the quotation is prepared.
6.2 Additional work may be required where RTS discovers matters including:
6.3 Material changes to the agreed scope will normally be discussed with the Customer before additional work is undertaken.
6.4 Minor work reasonably necessary to complete the agreed task safely and properly may be undertaken without obtaining separate written approval where the additional cost is minor in the context of the overall job.
6.5 Where possible, material variations will be authorised in writing, including by email, SMS, electronic approval or variation document.
6.6 Approved variations form part of the contract and will be charged in addition to the original price.
7.1 Unless other payment terms have been approved by RTS in writing:
7.2 RTS may approve, vary or withdraw credit terms having regard to the Customer’s payment history and commercial circumstances.
7.3 Larger projects may be subject to progress payments, deposits or other payment arrangements stated in the quotation.
7.4 RTS accepts payment by:
7.5 Electronic funds transfer is RTS’s preferred payment method.
7.6 Payment is not considered received until cleared funds are available to RTS.
7.7 Where a lawful payment surcharge applies, it will not exceed the amount RTS is permitted to recover under applicable law.
8.1 RTS will provide an invoice identifying the goods or services supplied and the amount payable.
8.2 The Customer should notify RTS promptly if the Customer believes an invoice contains an error.
8.3 Notification of an invoice dispute does not remove the Customer’s obligation to pay any portion of the invoice that is not genuinely disputed.
8.4 RTS will reasonably investigate any disputed charge and provide an explanation or correction where appropriate.
8.5 Nothing in this clause limits a Customer’s statutory rights.
9.1 An amount becomes overdue when it has not been paid by the due date shown on the invoice.
9.2 Where an account becomes overdue, RTS may, after providing reasonable notice where appropriate:
9.3 Remote Suspension for Non-Payment: Where equipment or systems supplied or managed by RTS include remote management capability, RTS may, after providing reasonable notice, remotely suspend or restrict functionality where amounts remain materially overdue. Any suspension will be limited to what RTS reasonably considers necessary to protect its legitimate commercial interests and encourage payment of the outstanding account. RTS will not intentionally disable equipment where doing so would create a foreseeable risk to health or safety, cause physical damage. Access or functionality may be restored once the overdue amount and any other amounts lawfully due have been paid or another payment arrangement has been agreed.
9.4 Where RTS has disclosed an overdue account fee, late payment charge or method of calculating interest before the Customer entered into the relevant contract, RTS may apply that charge in accordance with the disclosed terms and applicable law.
9.5 RTS will not impose an arbitrary or undisclosed penalty merely because an account is overdue.
10.1 Where an amount remains lawfully due and payable after its due date and RTS reasonably incurs costs in recovering that amount, the Customer may be required to reimburse RTS for reasonable recovery costs actually incurred, to the extent permitted by law.
10.2 Such costs may include reasonable fees charged by:
10.3 RTS will not seek to recover an amount which the law does not permit RTS to recover.
10.4 Nothing in this clause limits the Customer’s right to dispute a debt in good faith.
11.1 Unless otherwise agreed, legal title to equipment and goods supplied by RTS remains with RTS until the Customer has paid all amounts owing for those goods in full.
11.2 Unless otherwise required by law, risk of accidental loss or damage to equipment passes to the Customer when the equipment is delivered to, installed at or otherwise placed in the possession or control of the Customer.
11.3 Until title passes, the Customer must not knowingly sell, dispose of, encumber or grant a security interest over unpaid goods in a way that prejudices RTS’s lawful ownership interest.
11.4 RTS will only exercise any right to recover unpaid goods in accordance with applicable law and without unlawfully entering property.
11.5 Nothing in this clause limits any guarantee regarding title, undisturbed possession or other non-excludable rights under the Australian Consumer Law.
For the purposes of these Terms, Remote Work means work performed at a location which:
A location may therefore constitute Remote Work even if it is less than 150 kilometres away where air, sea, overnight or other unusual travel arrangements are reasonably required.
Vehicle travel is charged on a per-kilometre basis at RTS’s applicable kilometre rate unless:
RTS does not ordinarily charge the driver’s travel time separately where ordinary vehicle travel is already being charged by kilometre, unless specifically disclosed in a quotation or agreement.
RTS’s standard kilometre rate is based upon normal operating and fuel costs.
Where there is a significant increase in fuel prices or other vehicle operating costs after RTS’s standard kilometre rate was established, RTS may apply a reasonable fuel or travel surcharge in addition to the standard kilometre rate.
Where reasonably practicable, RTS will advise the Customer of a material surcharge before the relevant travel occurs.
A surcharge will be reasonably related to the additional travel cost incurred and will not be used as a penalty.
Where more than one RTS technician is required to attend a site, the vehicle travel component will ordinarily be charged once based per vehicle & primary driver upon the applicable per-kilometre rate.
However, the travel time of an additional technician or technicians travelling as passengers may be charged at the applicable hourly labour or travel rate. This recognises that those technicians are unavailable to perform other chargeable work while travelling to and from the Customer’s site.
Any such charge may be included in a quotation, estimate, work order or final invoice.
Where travel is required by air or sea, including aircraft, helicopter, ferry, boat or similar transport:
Remote Work may also involve reasonable charges for:
Where a quotation specifies particular arrangements concerning meals, accommodation, overnight allowances or other remote-area requirements, those specific terms apply.
Where a quotation states that travel is included in the quoted price, no separate travel charge will apply except:
13.1 The Customer must provide RTS and its authorised personnel with reasonable and timely access to the site and areas required to perform the work.
13.2 The Customer is responsible for obtaining any permission required from:
13.3 RTS may rely on the Customer’s representation that the Customer has authority for the requested installation or work.
13.4 If RTS is unable to undertake scheduled work because reasonable access has not been provided, a reasonable call-out, travel or labour charge may apply where this was disclosed or represents costs reasonably incurred.
14.1 RTS is committed to providing services in accordance with applicable work health and safety requirements.
14.2 The Customer must provide a reasonably safe working environment and advise RTS of any known hazards relevant to the work.
14.3 Relevant hazards may include:
14.4 RTS personnel may refuse to commence work, or may stop work, where they reasonably consider that continuing would create an unacceptable health or safety risk.
14.5 A delay arising from a genuine safety issue will not constitute a failure by RTS to complete the work within an originally estimated timeframe.
14.6 If additional equipment, personnel, access systems or safety controls are reasonably required to perform the work safely, RTS will discuss any material additional cost with the Customer.
15.1 RTS may agree to install, configure, troubleshoot or integrate equipment supplied by the Customer or already installed at the Customer’s premises.
15.2 Unless otherwise expressly agreed, RTS does not warrant:
15.3 RTS remains responsible for performing its own services with the standard required by applicable law.
15.4 If an existing item is found to be defective, unsuitable or incompatible, RTS will, where reasonably practicable, advise the Customer before replacing it or undertaking substantial additional work.
16.1 Many technology systems rely on products or services supplied by third parties, including:
16.2 RTS does not control the availability, performance, policies or operation of independent third-party services.
16.3 Subject to any rights that cannot be excluded by law, RTS is not responsible for a failure, outage, degradation or change caused solely by a third-party system or service outside RTS’s reasonable control.
16.4 RTS remains responsible for any failure of RTS itself to exercise the degree of care and skill required by law.
17.1 Dates given for delivery, installation or completion are estimates unless RTS expressly agrees in writing to a fixed completion date.
17.2 Work may be delayed by circumstances including:
17.3 RTS will use reasonable efforts to minimise avoidable delays and inform the Customer of a material delay once we become aware of it.
17.4 Nothing in this clause excludes any statutory obligation for services to be supplied within a reasonable time where that obligation applies.
18.1 Technology work can involve an inherent risk of loss, corruption or alteration of data, particularly where equipment is already damaged, failing, infected, corrupted or inaccessible.
18.2 Unless the service specifically includes backup or data protection, the Customer is responsible for maintaining an adequate and current backup of important data before RTS commences work.
18.3 The Customer should inform RTS before work commences if irreplaceable or particularly important data is stored on equipment that RTS will be working on.
18.4 To the maximum extent permitted by law, RTS is not responsible for data loss caused by circumstances outside RTS’s reasonable control, including:
18.5 Nothing in this clause excludes liability to the extent that data loss is caused by RTS failing to exercise due care and skill or where liability cannot otherwise lawfully be excluded.
18.6 Where RTS is specifically engaged to provide backup, recovery or data protection services, the agreed scope of those services applies.
19.1 The Customer is responsible for maintaining appropriate records of passwords, usernames, recovery codes, encryption keys and other credentials relevant to their systems.
19.2 RTS may require temporary access to accounts, devices or systems in order to perform requested services.
19.3 The Customer represents that they are authorised to provide RTS with any credentials or access supplied to us.
19.4 Where RTS creates or changes a password or credential for the Customer, RTS will provide or make that credential available to the Customer where appropriate.
19.5 Once credentials have been provided to the Customer, responsibility for their secure storage and management transfers to the Customer.
19.6 Unless specifically contracted to provide credential management, password management or managed IT services, RTS is not responsible for maintaining a permanent record of Customer passwords.
19.7 RTS may securely destroy or remove credentials from its working records when they are no longer reasonably required.
20.1 Security, CCTV and monitoring products are intended to assist in security and surveillance but cannot guarantee prevention, detection or recording of every incident.
20.2 System performance can be affected by circumstances including:
20.3 The Customer is responsible for ensuring that their use of CCTV, recording, monitoring or other technology complies with any laws applicable to their premises and activities.
20.4 RTS does not provide legal advice concerning surveillance, privacy, workplace monitoring or recording laws. Any comments, guidance or information provided by RTS in relation to such matters are provided in good faith and as a courtesy only, may not have been independently verified or legally tested, and do not constitute legal advice or a representation that the Customer’s proposed use is lawful.
21.1 In addition to any rights available under the Australian Consumer Law, RTS provides a 12-month workmanship warranty on installation and service work performed by RTS.
21.2 The 12-month period begins on the date the relevant work is substantially completed.
21.3 If workmanship performed by RTS is defective and the defect becomes apparent within the warranty period, RTS will, subject to these Terms, rectify the defective workmanship without charging the Customer for the rectification labour.
21.4 The workmanship warranty does not cover a problem caused by:
21.5 These exclusions apply only to the voluntary RTS workmanship warranty and do not limit any rights or remedies available under the Australian Consumer Law.
22.1 Equipment supplied by RTS may carry a manufacturer’s warranty, the duration and conditions of which vary between products and manufacturers.
22.2 RTS may also provide additional warranty benefits stated in a quotation, invoice or warranty document.
22.3 A manufacturer’s warranty or other stated warranty is in addition to, and does not replace or limit, any applicable rights under the Australian Consumer Law.
22.4 Consumer guarantees under the Australian Consumer Law do not necessarily expire merely because a manufacturer’s stated warranty period has expired.
22.5 Where the Australian Consumer Law applies, goods must satisfy the applicable statutory guarantees.
For the purposes of the voluntary RTS workmanship warranty:

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:
You are also entitled to choose a refund or replacement for major failures with goods.
If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion.
You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.
25.1 Local Warranty Attendance: Where RTS has supplied and installed equipment and an onsite attendance is reasonably required to investigate a reported fault, RTS will not charge travel or rectification labour where the fault is confirmed to be covered by the applicable RTS workmanship warranty, equipment warranty or other warranty provided by RTS.
25.2 Non-Warranty Faults: Where an onsite attendance is requested for a reported warranty issue and, following reasonable investigation, the fault is determined not to be covered by an applicable warranty, the Customer will be responsible for RTS’s normal travel, diagnostic and labour charges.
25.3 Examples of Non-Warranty Faults: A fault may be outside warranty where it results from circumstances including misuse, accidental damage, Customer or third-party alterations, power failure or surge, environmental damage, telecommunications or internet service failure, Customer-owned equipment, external interference, or another cause unrelated to the equipment or workmanship for which RTS is responsible.
25.4 Remote Warranty Attendance: Where the service location constitutes Remote Work under clause 12.1, travel and associated Remote Work costs remain chargeable to the Customer irrespective of whether the underlying fault is ultimately determined to be covered by warranty, except to the extent RTS is required by applicable law to bear those costs.
25.5 Remote Work Costs: Charges under clause 25.4 may include, as applicable:
25.6 Warranty Repair Costs: Where a Remote Work warranty claim is confirmed as valid, RTS will not charge the Customer for labour or materials required to rectify the warrantable fault itself, except for travel and associated Remote Work costs permitted under clause 25.4.
25.7 Remote Assessment and Diagnosis: Where reasonably practicable, RTS may first undertake remote troubleshooting, testing or assessment of a reported warranty fault. Where a component is reasonably identified as faulty, RTS may request that the Customer return that component to RTS for further assessment, repair or replacement rather than requiring an onsite attendance.
25.8 Replacement Components: Where a warranty claim is accepted and it is reasonably practical to do so, RTS may supply a repaired or replacement component for installation by the Customer or by a suitably qualified person nominated by the Customer. RTS may provide reasonable installation instructions or remote assistance where appropriate.
25.9 Customer or Third-Party Installation: Where replacement or repaired equipment is installed by the Customer or a person not engaged by RTS, RTS is not responsible for faults, damage, incorrect configuration, loss or other problems caused by incorrect installation, handling, wiring, configuration or failure to follow instructions. Any additional work required by RTS to rectify such issues may be charged at RTS’s applicable labour and travel rates. This clause does not affect warranty rights relating to the original warranted fault or any rights that cannot lawfully be excluded.
25.10 Freight and Transport: Unless otherwise agreed, the Customer is responsible for arranging and paying freight, postage, courier or other transport associated with equipment returned to or sent by RTS under a voluntary warranty process. Equipment transported by or on behalf of the Customer is at the Customer’s risk while in transit, and RTS is not responsible for loss or damage occurring during that transport where the carrier or transport service is not engaged by RTS.
Where RTS arranges freight on the Customer’s behalf, any applicable freight or transport charge may be passed on to the Customer unless RTS has agreed to bear that cost.
25.11 Australian Consumer Law: Clauses 25.7 to 25.10 apply subject to the Australian Consumer Law. Where RTS is legally required to bear reasonable return, transport, freight or other costs associated with a statutory consumer guarantee remedy, RTS will meet those obligations.
26.1 A Customer should notify RTS as soon as reasonably practicable if they wish to cancel scheduled work.
26.2 Where cancellation occurs before RTS has incurred any cost or committed resources, no cancellation charge will ordinarily apply unless a specific booking condition has been disclosed beforehand.
26.3 If the Customer cancels after equipment has been ordered, work has commenced, specialist resources have been committed or RTS has incurred non-recoverable expenses, RTS may charge the Customer the reasonable costs actually incurred as a consequence of the cancellation.
26.4 A quotation may specify a restocking or handling charge for particular equipment. Any such charge will only apply to the extent that it is reasonable and lawful in the circumstances.
26.5 Special-order, customised or specifically procured equipment may not be returnable where a supplier will not accept its return, subject always to the Customer’s rights under applicable law.
26.6 Cancellation provisions do not apply so as to prevent a Customer exercising a statutory right to cancel or terminate a contract.
27.1 RTS is not required to provide a refund or exchange merely because a Customer changes their mind, except where RTS has separately agreed to do so.
27.2 This does not affect any right to a repair, replacement, refund or other remedy arising under the Australian Consumer Law or another applicable law.
28.1 Unless otherwise agreed, ownership of hardware purchased and fully paid for by the Customer passes to the Customer in accordance with these Terms.
28.2 Pre-existing intellectual property belonging to RTS remains the property of RTS.
28.3 This may include:
28.4 Customer-specific information, configurations and documentation created for the Customer may be used by the Customer for the operation of the relevant system, subject to any third-party licence conditions.
28.5 Software supplied by third parties remains subject to the relevant vendor’s licence terms.
29.1 RTS may engage suitably qualified employees, contractors or subcontractors to assist in supplying services.
29.2 RTS remains responsible for its obligations under the contract to the extent required by law.
30.1 The Customer must provide information reasonably required for RTS to perform the agreed services.
30.2 The Customer is responsible for ensuring information supplied to RTS is accurate to the best of their knowledge.
30.3 The Customer must not knowingly direct RTS to undertake work which is unlawful or unsafe.
30.4 Where the Customer specifies a particular product, configuration or design contrary to RTS’s recommendation, RTS may document that advice.
30.5 RTS is not responsible for consequences solely attributable to the Customer knowingly proceeding contrary to clearly communicated technical advice, except to the extent liability cannot lawfully be excluded.
31.1 Nothing in these Terms excludes, restricts or modifies a consumer guarantee, statutory guarantee or other right or remedy where doing so would be unlawful.
31.2 Subject to clause 31.1 and to the maximum extent permitted by law, RTS is not liable for loss caused solely by:
31.3 Where permitted by law, RTS is not liable for indirect or consequential commercial loss that was not reasonably foreseeable as a result of RTS’s breach.
31.4 Without limiting applicable statutory rights, this may include loss of business, loss of revenue, loss of opportunity, loss of production or business interruption where such loss is caused by circumstances for which RTS is not legally responsible.
31.5 This clause does not exclude liability for loss to the extent that the loss results from RTS’s negligence, failure to exercise required due care and skill, breach of an applicable consumer guarantee, or other liability that cannot legally be excluded or limited.
31.6 Where legislation lawfully permits liability for particular business transactions to be limited, RTS may rely on any limitation permitted by that legislation.
32.1 Customers operating a business are responsible for maintaining business continuity arrangements appropriate to their reliance on technology systems.
32.2 These may include suitable backups, redundant internet services, spare equipment, uninterruptible power supplies and disaster recovery arrangements where continuity is critical.
32.3 Unless RTS has specifically contracted to provide a defined level of redundancy, uptime or business continuity, the existence of an RTS installation does not constitute a guarantee of uninterrupted operation.
32.4 Any limitation contained in this clause operates only to the extent permitted by law.
33.1 Certain RTS services may involve ongoing monitoring, management, support, software licensing or recurring charges.
33.2 Where a recurring service is supplied, its:
will be stated in the quotation, service agreement or other documentation applying to that service.
33.3 A one-off installation does not create an ongoing support or monitoring obligation unless RTS has expressly agreed to provide such a service.
34.1 Subject to applicable law and any specific service agreement, RTS may decline to commence further work for a Customer where:
34.2 Termination does not remove an obligation to pay for goods or services properly supplied before termination.
34.3 Nothing in this clause limits any statutory termination or cancellation rights available to the Customer.
35.1 RTS may collect and use information reasonably necessary to:
35.2 Where appropriate, information may be provided to suppliers, subcontractors, payment providers, manufacturers, professional advisers or debt recovery providers where reasonably necessary for those purposes and permitted by law.
35.3 RTS will handle personal information in accordance with applicable privacy obligations and any RTS Privacy Policy in force from time to time.
36.1 RTS wants Customers to notify us if they are dissatisfied with goods or services so that we have a reasonable opportunity to investigate and resolve the issue.
36.2 A Customer may lodge a complaint by contacting RTS using the contact details published on our website.
36.3 RTS will review complaints in good faith and may request information reasonably necessary to investigate the matter.
36.4 Where appropriate, RTS may offer inspection, troubleshooting, repair, rectification or another remedy.
36.5 Nothing in these Terms requires a Customer to surrender or delay any right to contact a regulator, consumer protection agency, court, tribunal or other dispute resolution body.
37.1 RTS may communicate with the Customer by email, telephone, SMS, electronic messaging, invoice, quotation or other contact method supplied by the Customer.
37.2 The Customer is responsible for advising RTS if their relevant contact details change.
37.3 Electronic acceptance and electronic communications may be relied upon as evidence of communications and approvals between RTS and the Customer.
38.1 If a provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be read down to the extent necessary to make it valid where possible.
38.2 If the provision cannot be read down, it will be severed without affecting the remaining provisions.
39.1 A failure or delay by RTS to exercise a contractual right does not automatically amount to a waiver of that right.
39.2 This clause does not limit any rights of a Customer under applicable law.
40.1 RTS may update these general Terms from time to time.
40.2 Updated Terms will apply to new transactions entered into after the updated Terms take effect.
40.3 RTS will not retrospectively impose a materially different term upon an existing completed contract merely by changing the Terms published on its website.
40.4 Where an ongoing service agreement permits terms to be varied, any variation will also be subject to that agreement and applicable law.
41.1 These Terms are governed by the laws applying in Queensland, Australia.
41.2 Subject to any statutory right of a Customer to commence proceedings elsewhere, the parties submit to the jurisdiction of the courts and tribunals having jurisdiction in Queensland.
